Welcome to Dentalink IPA (“Dentalink,” “we,” “us,” or “our”). These Terms and Conditions govern your access to and use of our website, membership, and services (collectively, the “Platform”). By accessing or using the Platform, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not access or use the Platform.

We reserve the right to modify, amend, or update these Terms and Conditions at any time. Your continued use of the Platform following the posting of revised Terms and Conditions constitutes your acceptance of those changes.

2. Membership & Participation

2.1 Membership Eligibility

• Membership is available to licensed dental professionals and practices.
• By applying, you confirm that you have the legal authority to enter into this agreement on behalf of yourself or your organization.

2.2 Membership Fees

• Some services require a membership fee, which is billed monthly or annually as agreed upon.
• Membership fees are non-refundable, except as expressly stated in these Terms.

2.3 Membership Benefits

As a Dentalink IPA member, you may access:

• Group purchasing discounts on dental supplies, equipment, and services.
• Exclusive vendor partnerships offering cost-saving opportunities.
• Educational and business growth resources tailored to independent dental professionals.

2.4 Term & Cancellation

• Membership continues on a month-to-month basis unless canceled with 30 days’ notice.
• Dentalink IPA reserves the right to terminate membership for non-compliance, fraud, or non-payment.

3. Use of the Platform

3.1 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in a manner that violates any applicable law or regulation.
• Engage in fraudulent, misleading, or unauthorized transactions.
• Post harmful, defamatory, or abusive content.
• Attempt to disrupt or gain unauthorized access to the Platform.

3.2 Platform Availability

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time. We are not liable for any interruptions in service.

4. Vendor & Partner Agreements

4.1 Third-Party Vendors

Dentalink IPA partners with vendors to offer members discounted pricing on products and services. We do not own or control these vendors.

4.2 No Guarantee of Pricing or Availability

While we negotiate vendor discounts, we do not guarantee specific pricing, product availability, or service levels from third-party vendors.

4.3 Vendor Payments & Transactions

• All purchases made through vendors are subject to the vendor’s terms, conditions, and warranties.
• Dentalink IPA is not responsible for transactions between members and vendors.

5. Privacy & Data Use

By using the Platform, you consent to the collection and use of personal data as described in our Privacy Policy.

• We may collect business and contact information to improve our services.
• We do not sell or distribute personal data to unauthorized third parties.
• Members may request data deletion upon terminating their membership.

6. Intellectual Property Rights

All content on the Platform, including logos, graphics, text, and software, is owned by or licensed to Dentalink IPA. You may not copy, modify, or distribute any material without our prior written consent.

Prohibited Actions:

• Copying or republishing Platform content.
• Reverse engineering or attempting to access source code.
• Using our branding or materials for unauthorized purposes.

7. Limitation of Liability & Disclaimers

7.1 No Warranty

• The Platform and services are provided “as is” and “as available” without warranties of any kind.
• We do not guarantee specific financial savings or benefits from membership.

7.2 Limited Liability

To the maximum extent permitted by law, Dentalink IPA shall not be liable for:

• Any indirect, incidental, or consequential damages arising from your use of the Platform.
• Issues related to vendor transactions, third-party services, or product defects.
• Business losses due to changes in vendor pricing or availability.

7.3 Maximum Liability

Our total liability for claims related to your use of the Platform is limited to the total amount paid for membership fees in the past 12 months.

8. Termination & Suspension

We reserve the right to terminate or suspend a member’s access if:

• The member violates these Terms.
• There is fraudulent activity or non-payment.
• A vendor relationship or service is discontinued.

Termination may occur without prior notice in cases of severe violations.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of USA.

9.2 Arbitration Clause

In the event of a dispute, the parties agree to resolve the issue through binding arbitration rather than court litigation.

9.3 Jurisdiction

If arbitration is not applicable, disputes shall be handled in the courts of USA.

10. Indemnification

You agree to indemnify, defend, and hold harmless Dentalink IPA from any claims, damages, losses, or expenses related to:

• Your violation of these Terms.
• Disputes with vendors or third parties.
• Any misuse of the Platform.

11. Miscellaneous Provisions

11.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Dentalink IPA regarding your use of the Platform.

11.2 No Waiver

Failure to enforce any provision of these Terms shall not be considered a waiver of our rights.

11.3 Severability

If any part of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.

11.4 Assignment

You may not assign your rights under these Terms without our prior written consent.
